Notification deadline

TOGC holds or fails
Checks the two things that actually break a TOGC on opted land: the buyer's option notified to HMRC by the relevant date, and the Article 5(2B) notice given to the seller.
SDLT charged on the VAT
Runs the non-residential bands (0% / 2% / 5%) twice - on the price and on the VAT-inclusive consideration - so the permanent SDLT uplift is visible, not assumed away.
Irrecoverable VAT
Applies the buyer's recovery percentage, so a partly exempt buyer sees the share of the VAT that never comes back.
Cost of funding the VAT
Charges the recoverable VAT at the buyer's borrowing rate for the months until the repayment lands.
