# Master Services Agreement - Section 12: Term, Termination and Data

## 12.1 Term and renewal
This Agreement automatically renews for successive twelve-month terms and may not be terminated during a renewal term.
Customer may terminate for convenience with a notice period of 90 days before the end of the then-current term.
An early termination fee equal to 50% of the remaining subscription value becomes payable on termination for convenience.

## 12.2 Migration off the Service
Where Customer asks to move to a different vendor, Provider will use commercially reasonable efforts during a transition period of 6 months.
A switching fee of EUR 2,500 is payable before any migration work begins.
Bulk extraction is billed as egress fees at a rate of EUR 0.09 per GB of data transferred out of the platform.
Provider is not obliged to assist with migration, integration testing or the reconfiguration of Customer systems.

## 12.3 Data return and deletion
Customer may download your data from the admin console within 14 days of the termination date.
All customer content, logs and backups are deleted immediately after that window closes.
Exports are produced in our own format; no schema documentation is published.

## 12.4 Regulatory statement
The EU Data Act applies from January 2024 and Provider considers this Section 12 sufficient for it.
